Now the only question is: Do I need to register in the Commercial Register, and how do I actually do it? This article therefore focuses exclusively on the registration itself, not on AHV, VAT, or whether you need a business at all.  <\/p>\n\n<p>As a general rule, registration in the Commercial Register is mandatory for sole proprietorships if you operate a business run in a commercial manner and your annual turnover exceeds CHF 100,000. Otherwise, registration is voluntary. <\/p>\n\n<h1 class=\"wp-block-heading\"><strong>What is the benefit of registration?<\/strong><\/h1>\n\n<p>For many Thai nationals and expats, the practical benefit is more important than the theory: having a Commercial Register entry often makes your business appear more \u201cofficial\u201d to landlords, banks, suppliers, and larger clients. In addition, the business name is protected within the legal framework once registration becomes mandatory, meaning from CHF 100,000 annual turnover onward. <\/p>\n\n<p>Important: in the case of a sole proprietorship, the business does not only come into existence through registration, unlike, for example, a GmbH or an AG. For a sole proprietorship, registration is therefore more of a formal recording. In some cases, it is compulsory, in others voluntary.  <\/p>\n\n<p>It is therefore entirely possible to start without registration at first, especially since many businesses do not reach a turnover of CHF 100,000 right from the beginning.<\/p>\n\n<h1 class=\"wp-block-heading\"><strong>Step by step: Registering a sole proprietorship in the Canton of Zurich as an example<\/strong><\/h1>\n\n<p>The Canton of Zurich explains the initial registration process on the Commercial Register website quite clearly. For the first-time registration of a sole proprietorship, you essentially need three things: the registration form, proof of identity, and a notarised signature sample. <\/p>\n\n<h2 class=\"wp-block-heading\"><strong>1) Complete the registration form (new registration):<\/strong><\/h2>\n\n<p>You submit the form \u201c<a href=\"https:\/\/www.zh.ch\/de\/wirtschaft-arbeit\/handelsregister\/einzelunternehmen.html\" data-type=\"link\" data-id=\"https:\/\/www.zh.ch\/de\/wirtschaft-arbeit\/handelsregister\/einzelunternehmen.html\">Registration of Sole Proprietorship, New Registration<\/a>\u201d to the Commercial Register Office. This registration typically includes information such as the business name, registered office\/address, purpose\/business activity, and your personal details. The exact information required is governed by the Commercial Register Ordinance.  <\/p>\n\n<h2 class=\"wp-block-heading\"><strong>2) Provide proof of identity:<\/strong><\/h2>\n\n<p>Zurich requires a copy of the ID card, passport, or residence permit of the person to be registered.<\/p>\n\n<h2 class=\"wp-block-heading\"><strong>3) Have your signature officially certified<\/strong><\/h2>\n\n<p>This is often the main stumbling block. You must submit a certified signature sample. In Zurich, this can be done through a notary, the city or municipal office, or directly at the counter of the Commercial Register Office. The certification can also be done directly on the registration form itself, but in that case the form may only be signed at the time of certification.   <\/p>\n\n<p>Certifications carried out abroad may trigger additional requirements such as an apostille or superlegalisation. It is therefore advisable to have the signature certified in Switzerland, especially since the effort and cost are generally manageable. <\/p>\n\n<h2 class=\"wp-block-heading\"><strong>4) Submit the documents and wait for review:<\/strong><\/h2>\n\n<p>The Commercial Register Office will review the documents. If something is missing, for example if the signature has not been correctly certified or if wording is unclear, you will usually receive feedback indicating what needs to be corrected. <\/p>\n\n<h1 class=\"wp-block-heading\"><strong>Costs: What fees should you expect?<\/strong><\/h1>\n\n<p>The basic fee for registering a sole proprietorship in the Commercial Register is CHF 80. Depending on the case, additional fees may apply, for example for signatory powers or further entries. <\/p>\n\n<h1 class=\"wp-block-heading\"><strong>Typical pitfalls<\/strong><\/h1>\n\n<p>Many problems do not arise because the law is particularly complicated, but because of formal details. The most common issue is the certification of the signature, for example the wrong authority, the wrong format, unclear certification, or simply forgetting to submit a certificated signature. <\/p>\n\n<p>A second classic issue is the business name. If you choose a name that is too generic or misleading, the Commercial Register may raise questions. It is important to note that the naming rules for a sole proprietorship are strict: the <strong>surname of the owner must form the core of the business name<\/strong>. You may add fantasy elements or an indication of your business activity, but your surname, exactly as it appears in your passport, must be included.
